Eisai Announces the Merger of Six Japan-based Subsidiaries

Tokyo (March 26, 2002) - Eisai Co., Ltd. of Tokyo (President and CEO: Haruo Naito) announces the merger of six Japan-based subsidiaries effective April 1, 2002. The subsidiaries include Sunplanet Co., Ltd., Seiansha Co., Ltd., Takehaya Co., Ltd., Kawashima Co., Ltd., Gakuen Shoji Co., Ltd., and Eland Co., Ltd. The remaining company will be Sunplanet Co., Ltd.

Sunplanet Co., Ltd., established in April 2001, served as a holding company for the five 100 percent owned subsidiaries, and established a group company structure. After the merger Sunplanet Co., Ltd. will serve to maximize integration and service value, promote managerial efficiency and increase the competitiveness of operations as well as providing company synergy among the business functions.

Sunplanet Co., Ltd. is expected to provide high quality business services in the medical, health, and environmental areas to customers and society as well as broad operational services to Eisai group companies.

Eisai Co., Ltd. is a research-based human health care company which discovers, develops and markets products in more than 30 countries. Through a global network of research facilities, manufacturing sites and marketing subsidiaries, Eisai actively participates in all aspects of the worldwide health care system. The Company reported sales of over $2.9 billion in 2000 with approximately 14 percent of sales spent for research and development.
