Notice Received from the European Commission
Regarding Sales of Bulk Synthetic Vitamin E

Tokyo (December 18, 2001) - Eisai Co., Ltd. of Tokyo (President and CEO: Haruo Naito) announced that a settlement has been reached with 26 companies of U.S. direct purchasers of synthetic vitamin E in the U.S. on December 17, who opted out from the class settlement in November 1999. The final settlement amount, including attorney's fees, is approximately U.S. $41 million (about yen5.1 billion). The additional expense of the settlement amounts to yen2.7 billion; the Company allocates to the settlement amount yen2.4 billion which is part of the fund received by the Company due to those opting out of the original settlement.

With respect to a notice of infringement of competition law received in November from the European Commission regarding the sales of bulk synthetic vitamin E in Europe, the Company, after a review of the contents of the notice, has decided to accept and pay the fine amount of Euro13.23 million (approximately yen1.46 billion).

The Company will not make a revision of its Business Results Forecast for the fiscal year period based upon the above information.
