SYNTHETIC VITAMIN E SETTLEMENT IN THE U.S. AND BUSINESS RESULTS FORECAST REVISION

Eisai Co., Ltd. of Tokyo, Japan announced it has reached a settlement agreement with the U.S. Department of Justice regarding anti-competitive practices of the sales of synthetic vitamin E in the U.S. The Company also expects to reach an agreement soon with civil plaintiffs in a U.S. Federal Court to resolve claims that have been made against the Company in the United States. Accordingly, the Company is now making a revised business results forecast for the interim term.

I.

Settlement Details
The Company reached a settlement agreement with the U.S. Department of Justice concerning anti-competitive practices in connection with the Company's sales of synthetic vitamin E to the U.S. for the period extending from January 1991 to February 1999. The Company cooperated fully with the Department's investigation and has agreed to a settlement under which it will pay to the U.S. Government an amount of $40 million (approximately yen4.4 billion). Because litigation is extremely time consuming and costly, the Company decided to reach an agreement and settle these claims.

Business Results Impact
Estimated settlements occurring from this incident in the U.S. and other areas for anti-competitive practices and civil plaintiffs, an approximate amount of yen7.2 billion, will be recorded in this year's interim term accounts under a special loss category.
The business results forecast for the interim term of the fiscal year term ending March 31, 2000, announced on May 21st, 1999, will be revised accordingly as shown below. The business results forecast for the entire fiscal year, (Non-consolidated/Consolidated) ending March 31, 2000, will be made at a later time.

V. Future Countermeasures
Eisai deeply regrets the occurrences, as high legal and ethical standards of conduct are applied to Eisai's worldwide business practices. The Company is taking a number of measures including a comprehensive review of its antitrust compliance programs to ensure the observance of antitrust laws and regulations in the countries in which Eisai does business.
